Director Business Affairs

**General Summary**:
**Director, Business Affairs, SPT Productions (Colombia) -** This position is based in Bogotá, Colombia and is part of Sony Pictures Television international development and production team (SPTI) providing business affairs support for the Latin American SPT production group, focused in the Colombian operation. This position will report to the Vice-President of Business Affairs in Miami.**:

- ** Responsibilities**: Will handle & coordinate business affairs matters, primarily, for the Colombian operation, supporting the Latin America and the US-Hispanic markets, for both scripted and light entertainment formats and programming, including**:(a)** supporting matters in connection with deals entered into by SPTI’s production company in Colombia, currently titled Teleset (e.g.; development, production and series programming deals are structured in such a manner that Teleset deals are closed in compliance with local customs, practices and laws, and in compliance with SPTI’s Policies (which include familiarity with US laws and regulations); **(b)** supervising and making sure the local operation implements and is compliant with data privacy laws (aka **_Habeas Data_** regulations); regulations and procedures (all applicable levels), and coordinating such procedures with the People and Organization (P&O) division and with Sony’s Compliance department; **(c)** following up on all bio-safety laws and policies, in coordination with Operations; Safety (S3), P&O and the Production departments and making sure that the local protocols and agreements correctly reflect such laws and policies; **(d)** supervising and handling all legal, administrative and contractual aspects in connection with the local tax incentives in place for the film and TV industry, such as the **_Contraprestación (aka _**cash rebate) and the **_CINA’s_**, all in coordination with Finance and Operations; **(e) **reviewing & drafting a wide variety of agreements & other documents, including: (i) all manner or development and production agreements, including (for example) writer, rights, consultants, producer, director and actor agreements, all key crew and below the line agreements, location agreements, clearance agreements (footage; art and props; image releases, permits, etc.), and product placements, and (ii) format acquisition and licenses agreements, production/exhibition and co-production deals with local and international networks, related to international scripted and unscripted projects; **(f)** analyzing risks in connection with local defamation, privacy, publicity/image and moral damage laws and regulations and being able to contrast them with their correlative laws in the US;** (g)** reviewing funding memos prepared by local offices and finance for management approval of series deals which SPTI cash flows or deficit finances; **(h)** reviewing third party participation statements prepared by Finance; **(i)** reviewing and drafting of agreements with respect to ancillary rights exploitations; **(j)** supporting all local labor and union matters relating to talent, musicians, writers, artists and technicians, coordinating with local outside counsel and the SPTI office in Miami and the SPTI’s legal group in L.A.; **(k)** drafting music deals (composer agreements, publishing, synchronization and master license agreements for our programs) and agreements to license our music for CDs, etc.) and coordinating such deals with SPTI office in Miami and SPE Music Business Affairs department based in L.A; **(l) **Supporting clearances efforts and the use and selection of names, trademarks, logos/designs, and other proprietary assets and be able to handle trademark searches and registrations (when applicable) and copyright registrations (as applicable); **(m)** making sure that the contracts and transaction deals by Teleset are compliant with local tax; immigrations; anti-corruption laws and regulations; establishing proper communication with SPTI’s Tax; Finance and Compliance groups for that matter and **(n)** facilitating communications between the Colombian office and outside legal counsel and supporting outside production lawyers as they assist with production and licensing matters.**:

- ** Knowledge**: (a) knowledge of contract, copyright, trademark, data privacy, and anti-corruption; labor; union/guild agreements laws and regulations and the obligations of employers under them; (b) familiarity with tax and immigration laws; (c) knowledge of local TV authorities, commissions and the ability to track and access the corresponding regulations, (c) working knowledge of merchandising, publishing, music issues, multiple forms of distribution (e.g., cable, satellite, VOD, PPV, free TV, DTV, etc.), mobile technology; (d) experience working in a multinational company and coordinating projects with multiple divisions is very helpful; (e) experience with rights tracking software and databases helpful.**:
