Job OverviewWe are seeking a highly skilled Contracts Specialist/Manager to join our LATAM commercial legal team. This role will be responsible for preparing, reviewing, and negotiating various commercial documents, contracts, and agreements, including Master Subscription Agreements, privacy exhibits, and product-specific schedules. The successful candidate will have a breadth of responsibility, supporting the Deal Desk team, SOW Desk team, and other internal stakeholders as needed.
Key Responsibilities:- Preparation, review, and negotiation of commercial documents, contracts, and agreements.
- Supporting the Deal Desk team with legal or quasi-legal escalations regarding Order Forms and product-specific schedules.
- Supporting the SOW Desk team with legal or quasi-legal escalations regarding Statements of Work.
- Conversion of legacy and old MSAs to the current Coupa MSA.
- Daily monitoring and triaging of Service Desk tickets.
- Negotiation and development of contractual documents with customers and internal stakeholders.
- Evaluation of contractual risk and standards, escalating potential exposures or contractual points to the supporting manager or internal stakeholders.
- Development of contract management benchmarks, guidelines, and playbooks.
- Bachelor's Degree in a relevant area of study and at least three years' experience as an attorney, contract manager/administrator/specialist, or paralegal.
- Excellent organizational skills and ability to multi-task.
- Prior experience interfacing with legal clients and/or commercial customers and internal executives/leaders.
- Self-starter with a desire to learn and bias for action to work independently in a high-volume and fast-paced environment.
- Commitment to excellence and ensuring the success of Coupa's customers.
- Desire to build relationships within the Legal Department and across other Coupa departments.
- Integrity, commitment to confidentiality, and ability to handle privileged, secret, and sensitive information and documentation.
- Prior experience with Software-as-a-Service contracts, data privacy, and/or SaaS security matters is preferred.
The ideal candidate will have a strong background in commercial and/or software contract transactions, excellent interpersonal skills, and a self-starting attitude.
