Division Overview
The mission of the Legal Department is to provide efficient, practical advice that enables informed decisions by the business, facilitates profitability and customer loyalty, and protects the company and its reputation by allowing a culture of compliance and accountability. The department provides legal support across the business, including critical areas such as commercial contracts, compliance, intellectual property, and M&A. The team consists of attorneys and legal operations professionals, with personnel in the US, UK, Continental Europe, and Asia.

Team and Role Overview
The Senior Corporate Counsel position is part of the Legal Department and reports to the Associate General Counsel, Global Head of Commercial Contracts. The Senior Corporate Counsel is a crucial member of our contract negotiation team and will regularly represent Adenza in discussions with customers and prospects, including the largest financial institutions in the world. We are looking for a self-starter who is enthusiastic about contract negotiation and has a deep interest in software, particularly in the FinTech and RegTech space.

**Responsibilities**:
Negotiate and draft Software License Agreements with Adenza customers for SaaS and on-premise deployment of Adenza software
Negotiate and draft agreements with vendors, partners, and others
Negotiate and draft Data Protection Addenda
Provide legal advice on complex Statements of Work for the Customer Delivery team
Advise critical stakeholders on contract matters and assess the legal risks and liabilities associated with different deals
Provide practical legal advice on a wide range of issues
Work with the Deputy General Counsel and Legal Operations team on Corporate Governance matters
Other duties as assigned
Skills And Requirements
6+ years of experience in corporate law gained in a large law firm and in-house with a prominent firm; prior in-house experience preferred
Proven background in corporate law (experience with contract law and drafting, intellectual property law, and corporate governance required)
Prior experience with SaaS contracts required; background in data privacy preferred
Fluency in Spanish and English required
Confidential, well-organized, detail-oriented, and practical team player with excellent interpersonal and negotiation skills, capable of working in a deadline-driven environment
Proactive and self-starting, comfortable working as part of a distributed global team
Effective personal, organizational, and time management skills, and the ability to juggle multiple demands
Strong written and verbal communication skills, demonstrating an ability to communicate with colleagues at all levels
Must have excellent computer skills, including skills with Microsoft Office, specifically Word, Excel, PowerPoint, and Outlook
Degree from an accredited law school and current license to practice law
